Factoring in Colorado

Colorado's Office of Economic Development and International Trade describes its mission as supporting small businesses and business expansion while championing industries that make the state distinctive, including the creative industries, outdoor recreation and tourism. Behind those headline sectors is a broad business-to-business economy that bills on net terms.

The Bureau of Labor Statistics' Economy at a Glance table for September 2026 (preliminary) shows about 499,300 jobs in trade, transportation and utilities and 491,500 in professional and business services, nearly equal in size. Construction accounts for roughly 190,000 jobs, manufacturing about 144,000, and mining and logging around 20,100. Government, at about 484,000, includes a significant federal and military presence along the Front Range.

That mix produces several distinct factoring markets. Aerospace and defense suppliers in Colorado Springs and the Denver suburbs sell machined parts, engineering hours and IT services to primes that pay on long cycles; our page on government contractor factoring covers the federal assignment rules. Oil and gas service firms in the Denver-Julesburg Basin and the Western Slope wait on operators after completing work; see oil and gas factoring. Specialty trades in a construction market driven by population growth deal with progress billing and retainage. And staffing agencies serving hospitals, warehouses and tech employers carry weekly payroll against monthly collections.

UCC filings in Colorado

UCC financing statements are filed with the Colorado Secretary of State. Its UCC page is direct about the process: forms must be submitted online, and paper filings are not accepted. Filers can use eFile with or without an account, and the same page offers a debtor-name search, an advanced search by secured party and other criteria, and a tool to validate a search report or certified document.

Here is why that matters to you. When a factor buys your invoices, Article 9 requires it to file a financing statement to perfect its interest in the purchased accounts. That UCC-1 protects the factor against your other creditors and against a bankruptcy trustee, and it shows up for anyone who searches your name later.

Before signing, run a debtor-name search for your exact legal entity name as registered with the Secretary of State. Look for filings that cover accounts, receivables or all assets. If you find one, the new factor will want it released, subordinated or paid off at funding. Colorado's search tools make this a quick check, so there is little reason to skip it.

Colorado law notes

Factoring is generally structured as a purchase of receivables rather than a loan. The factor buys the invoice at a discount and collects from your customer. Whether a court would treat a particular agreement as a sale depends on its substance, including recourse and whether you are really transferring credit risk.

Colorado's Article 9 is found in Title 4 of the Colorado Revised Statutes. C.R.S. 4-9-406 covers discharge of the account debtor, notification of assignment and restrictions on assignment. It provides that a term in an agreement between an account debtor and an assignor is ineffective to the extent it prohibits, restricts or requires consent to the assignment of an account. That rule generally keeps a customer's no-assignment clause from blocking factoring, with exceptions spelled out in the statute.

No Colorado-specific commercial financing disclosure statute covering factoring was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Denver and its suburbs, including Aurora and Lakewood, hold the state's largest concentration of distribution, construction, healthcare, energy company offices and professional services.

Colorado Springs is defined by military installations and the aerospace and space contractors that support them, plus a sizable healthcare sector.

Boulder and the northern Front Range, including Fort Collins and Greeley, combine research, technology, food processing and oil and gas activity in Weld County.

Grand Junction and the Western Slope rely on energy services, agriculture, tourism and freight along Interstate 70.

Frequently asked questions

Can I file or search Colorado UCC records on paper?

Not filings. The Secretary of State says forms must be submitted online and paper filings are not accepted. Searches are also online, by debtor name or through an advanced search. Your factor will normally handle the filing, but you can run your own search before signing.

Do Colorado aerospace subcontractors use factoring?

Many do, especially smaller machine shops and engineering firms that carry long payment cycles from primes. Factors will review the subcontract, delivery acceptance and the prime's payment history. If the end customer is a federal agency, the Assignment of Claims Act adds paperwork, so ask the factor about its process.

How do I evaluate a Colorado factoring quote?

Ask for the advance rate, the discount and how it accrues, the minimum monthly volume, termination terms and every add-on fee in writing. Then model the total cost with the factoring calculator. The factoring vs. line of credit guide can help you decide whether factoring is the right tool.
