Factoring in Missouri

Missouri's economic research office, MERIC, tracks eleven target industries: agribusiness, biosciences, construction, education, energy solutions, financial and professional services, health care, hospitality, information technology, manufacturing, and transportation and logistics. It describes manufacturing as a major component of the state's $389.9 billion economy, and reports that firms with fewer than 50 employees made up 46.2% of Missouri businesses with payroll in the first quarter of 2024.

That last figure is the one that matters most here. Small firms are the ones most likely to feel squeezed when a larger customer takes weeks or months to pay. A 20-person fabrication shop supplying an aerospace or vehicle plant, a regional trucking company hauling grain and building materials, or a commercial electrician waiting on a general contractor all share the same gap between work completed and cash received.

The Bureau of Labor Statistics' Economy at a Glance reports 3,007,300 nonfarm jobs in Missouri in September 2026 (preliminary). Trade, transportation and utilities employed 557,600 people, education and health services 545,300, manufacturing 279,300 and construction 160,600. With transportation and logistics on MERIC's target list, freight and trucking factoring is a natural fit for many Missouri carriers.

UCC filings in Missouri

The Missouri Secretary of State's Uniform Commercial Code Division in Jefferson City is the central filing office for personal property liens, according to its UCC page. The page offers online lien filing, an online search of UCC filings and online account setup, with fees on a separate schedule. It notes that financing statements are effective for five years and can be continued for another five.

A factor files a UCC-1 describing the accounts it is buying so that its interest is perfected and ranks ahead of later claimants. Because a filing lasts five years, a factor you stopped using years ago may still appear in the index unless it filed a termination.

Search your exact legal name and any prior names before signing. Old filings from a former factor, a bank line or an equipment lender can delay funding until they are terminated or subordinated. If you are moving from one factor to another, our guide on switching factoring companies explains the payoff and release sequence.

Missouri law notes

Factoring is generally a purchase of receivables, not a loan. Missouri adopted UCC Article 9 in Chapter 400, and RSMo 400.9-406 sets the rules for notifying a customer of an assignment; subsection (d) makes a term in an agreement between the account debtor and the seller ineffective to the extent it prohibits, restricts or requires consent to the assignment. A customer's no-assignment clause therefore usually does not block a sale of invoices.

On rates, RSMo 408.035 allows parties to agree in writing to any rate of interest, fees and terms for loans to corporations, partnerships and LLCs and for credit extended mainly for business or commercial purposes. It matters mainly if a factoring deal were recharacterized as a loan.

The more distinctive rule is Missouri's Commercial Financing Disclosure Law, RSMo 427.300. Its definition of a commercial financing transaction expressly includes an accounts receivable purchase transaction, meaning a business selling all or part of its accounts at a discount. Covered providers, defined as those consummating more than five such transactions with Missouri businesses in a year, must disclose at or before consummation the total funds provided, funds disbursed, total of payments, total dollar cost of financing, payment terms and prepayment terms. For a factoring facility, one disclosure may be based on an example of a $10,000 receivable. Exemptions include depository institutions and transactions over $500,000. The disclosure and broker-registration requirements take effect six months after the Division of Finance finalizes rules, or on February 28, 2025 if it chose not to issue rules; confirm current status with the Division. Enforcement belongs exclusively to the attorney general, with fines of $500 per violation capped at $20,000, and no private right of action.

This is general information, not legal advice.

Major metro areas

St. Louis anchors the eastern side of the state with aerospace and defense manufacturing, healthcare and biosciences, river freight and a large professional services base.

Kansas City, straddling the Kansas line, is a rail, trucking and warehousing crossroads with vehicle assembly, engineering firms and agribusiness headquarters.

Springfield in southwest Missouri combines trucking companies, healthcare systems and regional distribution, while Joplin adds manufacturing and freight along Interstate 44.

Columbia and Jefferson City center on universities, hospitals and state government, which brings in contractors billing public agencies.

Frequently asked questions

Does Missouri's disclosure law apply to factoring?

Yes, in many cases. RSMo 427.300 lists accounts receivable purchase transactions within its definition of commercial financing, so a provider closing more than five deals a year with Missouri businesses generally owes the prescribed disclosures before closing. Transactions above $500,000 and those by depository institutions are among the exemptions. A violation does not void the agreement.

What should a Missouri disclosure show me?

The statute requires the total amount of funds provided, the amount actually disbursed if lower, the total of payments, the total dollar cost of financing, the payment terms and any prepayment costs or discounts. Compare them across offers; our factoring contract guide covers clauses the disclosure will not capture.

How long does a factor's UCC filing stay on record in Missouri?

The Secretary of State's UCC Division says financing statements are effective for five years and can be continued for another five. When you end a factoring relationship, ask the factor to file a termination so the old lien does not slow down your next financing.
