Factoring in Maryland

No other state's invoice base is shaped so directly by Washington. The Maryland Department of Commerce says the state hosts 20 military facilities and federal agencies spread across more than 60 federal facilities, with Aberdeen Proving Ground, Fort Meade and Naval Air Station Patuxent River each housing dozens of tenant organizations. Commerce also ranks Maryland fifth for defense spending, citing Defense Department data for fiscal 2023. Many engineering, IT, cybersecurity and facilities subcontractors bill those installations or the prime contractors that serve them.

Government work pays reliably but rarely quickly. Factoring lets a subcontractor turn an accepted invoice into payroll money while the paperwork moves through the prime's accounts payable or a federal payment system. Assigning federal receivables carries extra steps under federal law, which we cover in factoring for government contractors.

Freight is the other large source of receivables. Commerce's distribution and logistics page describes the Port of Baltimore as the closest Atlantic seaport to the Midwest and ranks it first for roll-on/roll-off cargo, and notes five major interstates, two Class I railroads and a third of the U.S. population within an overnight drive. Drayage carriers, customs brokers and warehouse operators working around the port and the Interstate 95 corridor generate a constant stream of shipper invoices.

The Bureau of Labor Statistics' Economy at a Glance reports 2,794,300 nonfarm jobs in Maryland for September 2026 (preliminary), including 527,400 in government, 467,900 in professional and business services, 508,300 in education and health services, 448,100 in trade, transportation and utilities, and 163,600 in construction.

UCC filings in Maryland

Maryland's central filing office for financing statements is the State Department of Assessments and Taxation (SDAT), not the Secretary of State. Its UCC filing statements page links to online filing for the UCC-1 and UCC-3 and lists filing fees of $25 for filings of eight or fewer pages and $75 for nine or more, plus a separate online service fee. Electronic filing and searching run through the state's eGov UCC portal.

One Maryland quirk: SDAT says that, unlike many states, it does not search records for the public. You can search the online database yourself, or hire one of the private search companies SDAT lists.

A factor that buys your invoices files a UCC-1 so that its claim to those accounts appears on the public record ahead of later creditors. Article 9 covers sales of accounts as well as loans secured by them, so the same filing rules apply. Run a debtor-name search on your exact SDAT-registered entity name before signing; a bank line or equipment lender may already claim your receivables, and the factor will need that interest released or subordinated before it funds.

Maryland law notes

In most structures, factoring is a purchase of receivables, not a loan. Maryland enacted Article 9 in Title 9 of the Commercial Law Article. Commercial Law §9-406 provides that once an account debtor is notified of an assignment, it must pay the assignee, and its subsection (d) makes terms in an agreement between the account debtor and the assignor ineffective to the extent they prohibit, restrict or require consent to an assignment of an account.

If a transaction were recharacterized as a loan, Commercial Law §12-103(e) allows a lender to charge interest at any rate on a loan to a corporation, a commercial loan over $15,000 not secured by residential property, or a commercial loan over $75,000 secured by residential property.

Maryland lawmakers have considered commercial financing disclosure bills modeled on other states' laws. In the 2026 session, SB 881 and HB 1007 would have regulated commercial financing disclosures, but the General Assembly's site shows neither completing passage. Accordingly, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Greater Baltimore combines the port, hospitals and universities, manufacturing and a large distribution footprint near the airport, giving trucking companies, staffing agencies and medical suppliers plenty of invoices to factor.

The Washington suburbs in Montgomery and Prince George's counties are dense with federal agencies, laboratories, life sciences firms and the IT contractors that support them.

Frederick and Hagerstown, where Interstates 70 and 81 meet, have become warehousing and distribution centers with steady freight volume.

Southern Maryland around Lexington Park is tied to Naval Air Station Patuxent River, and Harford County to Aberdeen Proving Ground, so defense engineering subcontractors dominate both.

Frequently asked questions

Can I factor invoices owed by a federal agency in Maryland?

Yes, but federal receivables follow federal assignment rules rather than state law alone. The factor typically files notices with the contracting officer and the paying office, and some contracts restrict assignment. Many Maryland subcontractors avoid this by factoring invoices owed by the prime contractor instead, which works under ordinary Article 9 rules.

Why doesn't SDAT run a lien search for me?

SDAT states that it does not search UCC records on request. You can search the online database yourself by debtor name or filing number, or pay a private search company. Factors usually run their own search during underwriting, but checking first tells you whether an existing lender must sign off.

Does Maryland cap what a factor can charge?

Factoring fees in a true sale are generally a purchase discount, not interest. For loans, Commercial Law §12-103(e) lets parties agree to any rate on corporate loans and most commercial loans above $15,000. The practical safeguard is reading the fee schedule closely; our guide on how to read a factoring contract explains what to look for.
