The Commonwealth's economy is built around institutions that buy services on credit. The Bureau of Labor Statistics' Economy at a Glance counts 860,100 jobs in education and health services in September 2026 (preliminary), the largest supersector in a total of 3,711,000 nonfarm jobs. Professional and business services add 609,300, manufacturing 227,500, financial activities 223,200 and construction 167,500.
Those numbers translate into a particular kind of receivable. Hospitals, research universities and nursing facilities purchase temporary clinical staff, lab supplies, facilities maintenance, security and IT support, and they typically pay through slow, multi-step approval chains. A nurse staffing agency that pays its clinicians weekly while a hospital system pays in two months is a textbook factoring candidate; our page on healthcare factoring covers how facility and insurer receivables are handled differently.
Life sciences adds a second layer. The Massachusetts Life Sciences Center, the public agency that supports the sector, reports more than $2.6 billion dedicated to the industry through grants, loans, infrastructure, tax incentives and workforce programs. Contract research labs, equipment fabricators, specialty logistics firms and staffing providers that serve biotech companies issue invoices to clients who may be well funded but still pay on extended terms.
Trade through Boston is a third. The Massachusetts Port Authority says its Conley Terminal is the top choice for more than 2,500 New England importers and exporters and connects directly to more than 30 ports worldwide. Importers that resell to retailers and distributors, along with the truckers who move their containers, often use factoring to bridge the gap between paying for goods and collecting from buyers.
Under M.G.L. c. 106, §9-501, financing statements for most collateral, including accounts, are filed with the office of the state secretary. In practice that is the Corporations Division of the Secretary of the Commonwealth, whose Uniform Commercial Code page is the starting point. The division maintains a separate page for filing UCC documents online and an online UCC search of its database. Confirm current fees on the division's site before filing.
The point of the filing is notice and priority. When a factor buys your receivables, Article 9 treats the purchase like a secured transaction for perfection purposes, so the factor records a UCC-1 naming your company and describing the accounts. That record tells later lenders the invoices are spoken for and protects the factor if your company ends up in bankruptcy.
Before you sign, search your exact legal name, including any former names after a merger or conversion. A filing by your bank that covers all assets or accounts receivable is common; a factor will need that lender's release or a subordination agreement before advancing.
A factoring arrangement is generally a purchase of receivables rather than a loan, although courts look at substance over labels. Massachusetts adopted UCC Article 9 in Chapter 106 of the General Laws. M.G.L. c. 106, §9-406 requires an account debtor, after receiving notice of an assignment, to pay the assignee, and makes a term in the account debtor's agreement ineffective to the extent it prohibits, restricts or requires consent to an assignment of an account.
The Commonwealth's usury statute is criminal. M.G.L. c. 271, §49 makes it a crime to knowingly contract for interest and expenses exceeding 20% per year on a loan, but the section does not apply to a lender that notifies the Attorney General of its intent to make such transactions and keeps the required records. Whether a factoring agreement is a loan at all turns on its terms, particularly recourse. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.
This is general information, not legal advice.
Greater Boston, including Cambridge and the Route 128 belt, concentrates hospitals, universities, biotech, software and financial services, along with the port and the logistics businesses that serve it.
Worcester combines healthcare, higher education, life sciences manufacturing and distribution along the Massachusetts Turnpike and Interstate 290.
Springfield and the Pioneer Valley add precision manufacturing, insurance and hospitals, with trucking linked to Interstate 91.
Lowell and the Merrimack Valley mix advanced manufacturing, technology firms and the staffing agencies that supply them.
The South Coast around New Bedford and Fall River contributes maritime businesses, food processing and manufacturing.
The statute targets loans charging more than 20% a year in interest and expenses, and it exempts lenders that register their intent with the Attorney General. A genuine sale of invoices is generally not a loan, but agreements with full recourse and guaranteed returns are sometimes argued to be loans. Use our calculator to see your effective annual cost.
Generally yes. Chapter 106, §9-406 limits contract terms that block assignment, so a vendor agreement's no-assignment clause usually does not prevent the sale. Expect the factor to verify timesheets and the hospital's vendor-portal approvals, and to send a notice directing payment to its lockbox.
Use the Secretary of the Commonwealth's online UCC search, entering your exact registered name. Look for filings that list accounts, receivables or all assets, and contact each secured party about a release or subordination before the factor's closing. Include former names and any trade names used on invoices.
