Invoice Factoring in North Dakota

North Dakota invoices come from oilfield crews, grain and equipment suppliers, and the truckers who connect them. This page covers how factoring fits that economy and how lien filing works in the state.

Factoring in North Dakota

North Dakota is a small labor market with an outsized resource sector. In the Bureau of Labor Statistics' Economy at a Glance table for September 2026 (preliminary), mining and logging accounts for about 17,200 jobs, a striking share for a state whose entire manufacturing base is about 28,100. Most of that mining employment is oil and gas work in the Bakken, where service contractors bill exploration and production companies and frequently wait a long time while field tickets move through approval. Those are the receivables that oil and gas factoring is built for.

Trade, transportation and utilities is the largest private supersector at roughly 91,300 jobs. Much of that is the freight and wholesale network that moves grain, oilfield equipment, sand and supplies across long rural distances. Small carriers hauling for brokers and elevators are typical factoring clients because fuel and maintenance costs are immediate while freight bills are not.

Agriculture shapes the rest of the picture. Implement dealers, seed and chemical suppliers, custom harvesters and ag-focused manufacturers sell to farm operations and processors on seasonal terms. Factors willing to work with agriculture receivables look at whether the buyer is a co-op, a processor or an individual grower, since that changes credit risk considerably. BLS also counts about 30,700 construction jobs, with contractors on energy infrastructure and public works projects generating progress invoices.

UCC filings in North Dakota

Liens are filed with the North Dakota Secretary of State through the North Dakota Central Indexing System (NDCIS). The office's lien filings page says state law requires lien filings to be completed online, and that the same system can be used to search lien records. The office's lien types and fees page lists $40 for an initial UCC financing statement.

The UCC-1 is how a factor protects its purchase. Article 9 treats a sale of accounts much like a secured loan for filing purposes, so the factor files a financing statement against your business describing the invoices it buys, often all present and future accounts. Without that filing, a later lender or a bankruptcy trustee could claim the same receivables.

Before you commit, search NDCIS for your exact legal name and any trade names. Pay attention to equipment lenders and ag lenders whose filings describe "accounts" or "all assets," because a factor will want those released or subordinated before it funds.

North Dakota law notes

A factoring arrangement is ordinarily a sale: you transfer invoices for a discounted price and the factor collects from your customer. Whether a court would treat a specific agreement as a true sale or as a loan depends on its terms, particularly how much recourse the factor keeps.

North Dakota codifies Article 9 in Chapter 41-09 of the Century Code, with UCC section numbers shown in parentheses. N.D.C.C. § 41-09-68, corresponding to UCC 9-406, governs discharge of the account debtor and notice of assignment. It also makes a term in an agreement between an account debtor and an assignor ineffective to the extent it prohibits, restricts or requires consent to the assignment of an account. So an oil operator's master service agreement that bars assignment generally will not block a sale of the contractor's invoices, although the factor still has to give proper notice.

No state-specific disclosure statute was identified as of November 2026 for commercial financing or factoring in North Dakota.

This is general information, not legal advice.

Major metro areas

Fargo, together with Moorhead across the Red River, is the state's commercial center, with agricultural processing, equipment manufacturing, healthcare, software and distribution.

Bismarck-Mandan carries state government, healthcare and regional wholesale trade, and serves as a supply base for energy and agriculture to the west.

Grand Forks mixes university and research activity with agriculture-related manufacturing and services.

Minot, Williston and Dickinson sit closest to the Bakken, where oilfield trucking, water hauling, equipment rental and well services produce much of the state's factorable receivables.

Frequently asked questions

Can an oilfield contractor factor tickets that have not been approved yet?

Usually not at full advance. Most factors fund once the operator has approved the ticket or invoice, because unapproved work is easy to dispute. Some offer a smaller advance earlier. Ask how the factor verifies approval in the operator's billing portal and what happens if a ticket is later short-paid.

Do I have to file a UCC lien in person in North Dakota?

No. The Secretary of State says lien filings must be completed online through NDCIS, and the same system handles lien searches. Your factor normally prepares and files the UCC-1, but you can use NDCIS yourself to confirm what is on record against your business.

Is factoring practical for a seasonal ag supplier?

It can be, if your buyers are creditworthy businesses such as co-ops or processors that pay on defined terms. Invoices owed by individual growers with harvest-dependent payment dates are harder to place. Run the numbers with the factoring calculator using your real collection times.
