Factoring in Montana

Montana's Department of Commerce lists the industries it is courting as advanced and traditional manufacturing, agriculture and ag tech, business-to-business technology, bio and life sciences, back-office operations, data centers, e-commerce and logistics, energy and energy technology, and tech startups. Several of those produce exactly the kind of invoices factors buy: an equipment dealer billing a grain operation, an oilfield trucking company invoicing a producer in the eastern part of the state, or a logistics firm moving goods between rail sidings and customers.

The labor numbers show an economy weighted toward services and seasonal demand. The Bureau of Labor Statistics' Economy at a Glance reports 520,300 nonfarm jobs in September 2026 (preliminary), with 101,700 in trade, transportation and utilities, 88,800 in education and health services, 70,400 in leisure and hospitality, 53,700 in professional and business services and 37,400 in construction. Manufacturing is comparatively small at 20,500 jobs, and mining and logging account for 5,600.

That mix creates a few recurring factoring scenarios. Construction subcontractors in fast-growing valleys often fund materials and crews well before a general contractor pays. Suppliers to hotels, resorts and outfitters see revenue concentrated in a few months. Agricultural service providers bill on harvest and sale timelines rather than their own payroll schedule; our agriculture factoring page covers how factors treat farm-related invoices. Energy services firms have their own cycle tied to producer payment practices, described on our oil and gas factoring page.

UCC filings in Montana

Liens are filed with the Montana Secretary of State, Business Services. The office's UCC information article explains that a lien filed there gives notice that a security interest exists against specific collateral, and that the online UCC search lets users look up debtor names, view filing chains and download search certificates and lien images. The office accepts several lien types beyond standard UCC filings, including agricultural liens and Effective Financing Statements for crops, livestock and other farm products under the federal farm products rules, which matters for anyone factoring sales to grain elevators or livestock buyers.

The Secretary of State's lien information page adds a practical warning: a filing is rejected if the debtor name does not conform to MCA 30-9A-516, and trade names are not correct debtor names. For a registered organization, the filing belongs in its state of organization.

A factor files against the accounts it purchases so its ownership is on public record and takes priority over later secured parties. Before signing, search your exact registered name. An existing lender's blanket lien, or an EFS covering farm products you sell, needs to be addressed before a factor will fund.

Montana law notes

Factoring is generally a purchase of receivables rather than a loan. Montana codifies Article 9 as Chapter 9A of Title 30. Under MCA 30-9A-406, a customer pays the seller until it is notified of the assignment and must pay the assignee afterward, and subsection (4) makes a term in an agreement between the account debtor and the seller ineffective to the extent it prohibits, restricts or requires consent to assigning an account.

Montana has an unusually strict general usury rule. MCA 31-1-107 caps agreed interest at the greater of 15% or six percentage points above the prime rate. However, MCA 31-1-112 exempts regulated lenders other than deferred deposit and consumer loan licensees, and its subsection (2) also exempts a finance operation that finances transactions between merchants. Because a true-sale factoring agreement is generally not a loan, and because the merchant-finance exemption may apply even if it were, the cap rarely decides the question, but a heavily recourse-based deal deserves review by Montana counsel. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Billings is the state's largest commercial center, serving eastern Montana and northern Wyoming with healthcare, energy, rail, trucking and agricultural equipment.

Missoula combines a university, regional hospitals, timber and a growing professional services sector.

Bozeman and the Gallatin Valley have seen heavy construction activity along with technology and outdoor-industry companies, creating demand among builders and suppliers.

Great Falls adds agriculture and regional services, while Helena centers on state government and Kalispell on tourism, construction and wood products in the Flathead Valley.

Frequently asked questions

Does Montana's 15% usury cap limit factoring fees?

Usually not. A properly structured factoring deal is a sale of invoices, so the discount is not interest. Even when a transaction is treated as credit, MCA 31-1-112(2) exempts finance operations that finance transactions between merchants. The cap in MCA 31-1-107 can still matter for unusual structures, so have counsel look at agreements with heavy recourse or guaranteed minimum returns.

What is an EFS lien and why would a factor care?

An Effective Financing Statement is a central filing used under federal farm products rules for crops and livestock. If a lender has an EFS on your farm products, buyers of those products may have to account for the lender's interest when they pay, which complicates factoring those sales. Check the Secretary of State's records for EFS filings before offering ag receivables to a factor.

How fast can a Montana business start factoring?

It depends mostly on lien searches and customer verification. If no prior lender claims your receivables and your customers confirm invoices promptly, funding can follow shortly after approval. Older liens or slow customer confirmations are the usual causes of delay. Use our calculator to estimate costs while you gather documents.
