Invoice Factoring in Oregon

Oregon's receivables range from sawmills and food processors to chip-equipment suppliers and port logistics. Note one recent change: the state renumbered its Article 9 statutes in 2025.

Factoring in Oregon

Oregon has a more varied manufacturing base than its size suggests. The Bureau of Labor Statistics' Economy at a Glance table shows about 174,900 manufacturing jobs in September 2026 (preliminary), spread across semiconductors and electronics in the Portland metro, wood products in the valleys and coast range, and food and beverage processing in the Willamette Valley and the east side of the state. Suppliers to large technology manufacturers are often held to long payment terms, and smaller mills and processors sell to distributors that pay on trade terms. Both situations fit manufacturing factoring.

Freight and distribution form the largest private block. BLS counts about 350,800 jobs in trade, transportation and utilities, reflecting the Portland area's river and rail terminals, Interstate 5 truck traffic between California and Washington, and Interstate 84 running east up the Columbia. Trucking firms and freight brokers are steady factoring users here.

Agriculture is a quieter but meaningful source of receivables. Nurseries, growers, packers and seed companies sell to wholesalers and grocers, and businesses selling into that supply chain can turn invoices into cash rather than waiting for the harvest-season payment cycle. See agriculture factoring for how factors evaluate those buyers. Construction, at roughly 115,100 jobs, and professional and business services, at about 248,800, round out the picture with subcontractors and staffing agencies.

UCC filings in Oregon

Financing statements are filed with the Oregon Secretary of State, Corporation Division. Its UCC page offers online filing ("File a UCC online"), a UCC Record Search, forms and fees, and search help, and it posts current processing dates for UCC filings received by mail or fax. Fees are listed on the separate forms and fees page.

A factor files a UCC-1 because Article 9 applies to sales of accounts, not only to loans. The filing describes the receivables purchased, often all present and future accounts, and gives the factor priority over creditors that file later and over a trustee if your business ever enters bankruptcy.

Before you sign, run the Secretary of State's record search on your exact registered name. Oregon businesses often carry Small Business Administration loans or equipment financing with broad collateral descriptions; if a prior filing reaches accounts, you will need the lender's release or subordination.

Oregon law notes

Factoring is generally a sale of receivables for a discounted price rather than a loan. Courts may still ask whether the risk of nonpayment really moved to the factor; a deal with heavy recourse looks more like a loan.

In 2025 Oregon moved its Article 9 provisions from ORS chapter 79 to a new chapter 79A. The Legislature's tables show former ORS 79.0406 was renumbered as ORS 79A.4060, captioned as the UCC 9-406 provision on discharge of account debtor, notification of assignment, and restrictions on assignment of accounts, chattel paper, payment intangibles and promissory notes being ineffective. Older contracts and articles may still cite the former number. The substance is the familiar rule: once notified, an account debtor must pay the assignee, and a contract term restricting assignment of an account is generally ineffective.

No state-specific disclosure statute was identified as of November 2026 for commercial financing or factoring in Oregon.

This is general information, not legal advice.

Major metro areas

Portland, with Vancouver across the Columbia, is the state's commercial center: semiconductor manufacturing in Washington County, athletic apparel and footwear firms, port and rail logistics, and a large services economy.

Salem combines state government, food processing and Willamette Valley agriculture.

Eugene-Springfield adds wood products, recreational vehicle and specialty manufacturing, and a university economy.

Medford and the Rogue Valley are known for orchard and specialty food shippers, while Bend has grown into a hub for small manufacturers, construction and professional services.

Frequently asked questions

Does Oregon's 2025 statute renumbering affect my factoring contract?

It should not change your rights. The 2025 change moved Article 9 to ORS chapter 79A, so the anti-assignment rule now appears at ORS 79A.4060 instead of 79.0406. A contract citing the old number still refers to the same rule, but updated agreements should use the new citations.

Can an apparel or footwear supplier in Portland factor invoices owed to big retailers?

Often, yes. Factors that serve apparel companies are accustomed to retailer chargebacks, compliance deductions and routing guides. Expect the factor to review your deduction history with each retailer, because frequent chargebacks reduce the amount it will advance. Retailer payment terms can also run longer than other buyers', which raises the fee.

How long does an Oregon UCC filing take?

Online filings are generally the fastest route, and the Secretary of State posts the current processing date for mailed and faxed UCC submissions. Ask your factor to file online and send you the acknowledgment so you can confirm the collateral description is accurate.
