Factoring in Utah

Utah's economy is young and growing, and growth consumes working capital. The Bureau of Labor Statistics' Economy at a Glance table shows trade, transportation and utilities as the largest private supersector at about 315,200 jobs in September 2026 (preliminary). Salt Lake City sits where Interstate 15 meets Interstate 80, and the valley has become a western distribution hub with large fulfillment centers, rail intermodal facilities and regional trucking operations. Carriers and logistics providers billing shippers on trade terms are frequent factoring users.

Professional and business services, about 262,200 jobs, reflects the "Silicon Slopes" software and IT-services cluster along the Wasatch Front plus a sizeable staffing industry. Technology consultancies and contract developers invoicing enterprise clients may wait months to be paid, which is the gap IT services factoring is designed to fill.

Construction employs about 147,300 people, unusually high for a state of Utah's size, because of sustained residential and commercial building. Subcontractors on those projects face retainage and pay-when-paid clauses, so factors look closely at contract terms before advancing on construction receivables. Manufacturing, at roughly 155,900 jobs, covers aerospace and defense components, medical devices, food products and outdoor gear, and BLS counts about 11,000 jobs in mining and logging.

UCC filings in Utah

The Utah Division of Corporations and Commercial Code is the central filing office for financing statements, according to its Uniform Commercial Code page. UCC-1 filings, continuations and terminations can be submitted online, and the same system offers standard and certified UCC searches. The page states that each filing is $12 per page, while terminations and UCC-5 filings are free.

A factor files a UCC-1 because Article 9 reaches sales of accounts. The financing statement publicly records that the factor owns the receivables and gives it priority over lenders who file afterward.

Before signing, run a standard search on your exact legal entity name. Utah companies backed by venture debt or bank lines often have blanket liens. A factor will need a subordination from that lender, or a carve-out of the specific accounts it buys, before funding.

Utah law notes

Factoring is generally a purchase of invoices rather than a loan, because the factor pays a discounted price and takes over collection. That classification depends on the actual risk allocation in the contract.

Utah adopted Article 9 as Chapter 9a of Title 70A. Utah Code § 70A-9a-406 follows UCC 9-406: an account debtor that has been notified must pay the assignee, and a term in an agreement between the account debtor and the assignor is ineffective to the extent it prohibits, restricts or requires consent to the assignment.

Utah's Commercial Financing Registration and Disclosure Act, Title 7, Chapter 27, does cover factoring. Its definitions include an "accounts receivable purchase transaction," in which a business sells all or part of its accounts or payment intangibles at a discount, within "commercial financing transaction." Since January 1, 2023, a provider engaging in those transactions must register under § 7-27-201, and § 7-27-202 requires disclosures before closing, including the total funds provided and disbursed, the total amount to be paid, the total dollar cost, and the manner and frequency of payments. Section 7-27-102 exempts, among others, depository institutions, providers completing five or fewer transactions in the state in a 12-month period, and transactions over $1,000,000. Ask any factor quoting a Utah business for its disclosure.

Major metro areas

Salt Lake City is the state's center for logistics, finance, healthcare and corporate services, anchored by a major airport and rail intermodal yards.

Provo-Orem and Lehi in Utah County are the heart of the technology and software corridor, with substantial construction activity.

Ogden-Clearfield combines an Air Force base, aerospace and defense contractors, and distribution.

St. George in the southwest is one of the country's fastest-growing areas, driven by construction, healthcare and services, while Logan adds food processing and university research.

Frequently asked questions

Does Utah's commercial financing law apply to my factoring agreement?

It can. The act expressly includes accounts receivable purchase transactions, so a factor that completes more than five Utah transactions a year generally must register and give the required disclosures. Transactions over $1,000,000 and those by depository institutions are among the exemptions. Ask the factor for the disclosure before signing.

How much does a Utah UCC filing cost?

The Division of Corporations and Commercial Code says each filing is $12 per page, with terminations and UCC-5 filings free. Your factor usually files and pays for its own UCC-1. Check whether it charges you a separate setup or lien fee on top.

What should a Utah software contractor know before factoring?

Factors prefer invoices for completed, accepted work billed to established companies. Milestone billing and disputes over deliverables can reduce advances. Compare the effective cost with the factoring calculator before signing. If you invoice under a master services agreement, have the statement of work and client acceptance emails ready, since factors use them to confirm the work is complete.
