Factoring in California

California's Governor's Office of Business and Economic Development (GO-Biz) groups the state economy into ten industry areas: aerospace and defense, clean economy, creative economy, financial and professional services, high-tech, life sciences, manufacturing, tourism and outdoor recreation, transport and logistics, and working lands and water. Each one has suppliers waiting on large customers to pay.

The scale is hard to overstate. The Bureau of Labor Statistics' Economy at a Glance figures for September 2026 (preliminary) show about 3,062,800 jobs in trade, transportation and utilities, 2,744,800 in professional and business services and roughly 1,199,800 in manufacturing. The ports of Los Angeles and Long Beach, plus Oakland in the north, feed a dense network of drayage carriers, warehouses and customs brokers in the Inland Empire and Central Valley. Those carriers are among the state's heaviest factoring users; see freight and trucking factoring.

Apparel is a distinctly California use case. Los Angeles garment makers and importers selling to department stores and off-price chains have relied on factoring for generations, often on a non-recourse basis where the factor takes the credit risk on the retailer. Our apparel factoring page explains how credit approval works on retail accounts.

Agriculture, under the "working lands" banner, adds growers, packers and haulers selling to processors and grocery chains. Staffing firms, entertainment production vendors and IT consultants billing enterprise clients on net-60 terms complete the picture.

Factors based in California

Four listed factors are headquartered in California. Bay View Funding in San Jose, owned by Citizens Business Bank, publishes rates from 0.5% and advances of 70% to 90%, with a payroll advance program for staffing firms and fuel advances for carriers. Thunder Funding in Carlsbad is freight-only and runs a 90-day agreement. America's Factors in Santa Fe Springs has factored since 1992 with month-to-month options, no minimums and non-recourse programs. Business Factors & Finance in Redondo Beach is listed without verified terms. California also licenses some out-of-state factors under its Financing Law; Charter Capital of Texas, for example, notes a California Financing Law license in its site footer. Port drayage carriers in Los Angeles, Long Beach and Oakland are mostly served by the national freight factors in the table below.

UCC filings in California

The California Secretary of State is the central filing office for most UCC financing statements. Its UCC page explains that filing with the office perfects a security interest in named collateral and establishes priority if the debtor defaults or files bankruptcy. Online service runs through UCC Connect, which handles inquiries, filings, copies and debtor search certificate requests.

The office also asks filers not to include Social Security numbers or other nonessential personal information on UCC documents, because filings are public records. That warning is worth remembering if you are a sole proprietor whose name appears as debtor.

A factor buying your invoices will file a UCC-1 naming your company and describing accounts. Article 9 uses the same filing system for sales of accounts as for loans secured by them, so the factor's filing puts the world on notice that it owns the receivables. Before signing, request a debtor search through UCC Connect on your exact legal name. Existing filings covering accounts or all assets will need a payoff, a release or an intercreditor agreement.

California law notes

Factoring is generally structured as a purchase of receivables rather than a loan. Recourse terms, repurchase obligations and pricing all bear on whether a court sees a sale or a disguised loan, so the contract's label is only the starting point.

California is notable for its disclosure regime. In 2018 the state enacted SB 1235, now codified in Division 9.5 of the Financial Code (Fin. Code §§ 22800–22805). The Department of Financial Protection and Innovation's implementing regulations took effect on December 9, 2022, and the department's announcement specifically names commercial factoring among the covered products. Providers must disclose items such as the amount of funding the business will receive, an annual percentage rate calculated for the transaction, the term and prepayment policies. According to a law-firm summary of the final rules, the regulations address factoring transactions as their own category and include an exemption for transactions over $500,000. Depository institutions are exempt.

California's UCC Article 9 includes the anti-assignment override found in UCC 9-406, which generally prevents a customer's contract from blocking the sale of an account.

This is general information, not legal advice.

Major metro areas

Los Angeles and Orange County combine ports, apparel, entertainment, aerospace and a vast distribution network, making them the state's busiest factoring market.

The Inland Empire, centered on Riverside and San Bernardino, is warehouse and trucking country, built around goods moving inland from the ports.

The San Francisco Bay Area and San Jose concentrate technology, life sciences and professional services, where consultants and contractors bill large enterprises on long terms.

San Diego mixes defense contracting near its naval installations, biotech and cross-border trade.

Sacramento and the Central Valley, including Fresno, rely on state government, agriculture, food processing and freight on Highway 99 and Interstate 5.

Frequently asked questions

Do California factors have to give me a cost disclosure?

For covered transactions, yes. SB 1235 and the DFPI regulations require providers, including factors, to give standardized disclosures such as funding amount and an annualized rate before you sign. Larger transactions and depository institutions are exempt. If a factor does not provide one, ask why it believes the rules do not apply.

Is non-recourse factoring common for California apparel companies?

It is a long-standing practice in the Los Angeles garment trade. In a non-recourse deal the factor approves each retail customer's credit and absorbs losses if that customer becomes insolvent, though disputes over goods remain your responsibility. Our guide to recourse versus non-recourse factoring explains the trade-offs.

How do drayage carriers at the ports use factoring?

Most factor container moves individually, submitting proof of delivery and the rate confirmation so they can pay drivers and chassis fees quickly. Factors check broker and shipper credit before funding. Compare offers with the factoring calculator since port carriers often run high volume at thin margins.
