Kentucky's receivables come largely from auto suppliers, distribution centers and metal shops. Here is how factoring fits that economy and what to check at the Secretary of State before you sign.

Kentucky's business-to-business invoices are dominated by things that get built and things that get shipped. The Cabinet for Economic Development lists automotive, aerospace, primary metals, food and beverage, chemicals, plastics and rubber, and logistics and distribution among the state's major industries. Its automotive page counts more than 550 companies employing over 106,000 people and says Kentucky is the top producer of cars, light trucks and SUVs per capita.
That concentration shapes factoring demand. A tier-two stamping or injection-molding shop selling to an assembly plant often waits weeks or months to be paid, while its own payroll, steel and resin bills come due much faster. Selling those invoices to a factor converts approved receivables from creditworthy buyers into cash within days. Our manufacturing factoring overview explains how factors evaluate tooling and production invoices.
Freight is the second engine. According to the Cabinet, more than 600 logistics and distribution facilities in Kentucky employ more than 91,000 people, and the state sits within a day's drive of 65% of the U.S. population at the center of a 34-state eastern distribution area. Owner-operators and small fleets hauling out of those warehouses are among the most frequent factoring users anywhere; see freight and trucking factoring.
The Bureau of Labor Statistics' Economy at a Glance figures for September 2026 (preliminary) show about 249,200 manufacturing jobs and 423,500 in trade, transportation and utilities, alongside 221,700 in professional and business services and 322,400 in education and health services. Staffing firms supplying plant labor and healthcare providers billing institutional payers round out the receivables picture.
Financing statements are filed with the UCC division of the Kentucky Secretary of State, which describes itself as the state repository for these records. Its UCC page says most simple UCC-1 and UCC-3 filings can be submitted through the website, and it offers a separate online search of existing filings. Fees are published on a linked fee page rather than the main UCC page, so confirm current amounts there.
A factor typically files a UCC-1 naming your business as debtor and describing present and future accounts. Under Article 9 a sale of accounts is treated as a secured transaction for filing purposes, so the filing is how the factor establishes priority against your other creditors and a later bankruptcy trustee.
Before you sign, run your exact legal entity name through the Secretary of State search. If a bank, equipment lender or merchant cash advance provider already has a lien covering receivables, a new factor will usually require a subordination agreement or a payoff, and that can slow onboarding.
Factoring is generally structured as a purchase of receivables rather than a loan: the factor buys the invoice at a discount instead of lending against it. Kentucky adopted UCC Article 9 in Chapter 355 of the Kentucky Revised Statutes. KRS 355.9-406 sets out the rule that once an account debtor receives notice of an assignment, it must pay the assignee to discharge the debt, and it makes contract terms that prohibit or restrict assigning an account generally ineffective. That override is why a customer's no-assignment clause usually does not block factoring, though government account debtors and certain other situations are carved out.
On interest, KRS 360.010 sets a legal rate of 8% per year but lets parties agree in writing to any rate on obligations whose original principal exceeds $15,000; smaller written obligations are capped at the lesser of 19% or four points over the Federal Reserve discount rate. Whether a particular factoring agreement is a true sale or a disguised loan depends on facts such as recourse and who bears credit risk, so usury analysis is case-specific. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.
This is general information, not legal advice.
Louisville is the state's largest market, combining air-cargo and parcel distribution, vehicle assembly, healthcare systems and food and beverage production. Trucking, warehousing and staffing receivables are especially common there.
Lexington and the surrounding Bluegrass counties mix vehicle and parts manufacturing with university and hospital spending, equine businesses and professional services.
Northern Kentucky, across the river from Cincinnati, is a dense distribution and air-freight zone where third-party logistics firms and carriers generate steady invoice volume.
Bowling Green and the Interstate 65 corridor in the south-central part of the state host vehicle production and a cluster of suppliers and distribution centers.
Usually yes. KRS 355.9-406 makes most anti-assignment clauses ineffective against the sale of accounts, so a factor can buy invoices even if the purchase order discourages assignment. Factors still review the buyer's chargeback history and any existing supplier-finance program before advancing.
If the transaction is a genuine purchase of receivables, factoring fees are generally treated as a discount rather than interest. Where a deal looks more like a loan, KRS 360.010 lets parties agree in writing to any rate once the original principal exceeds $15,000. Smaller arrangements face a cap, so very small facilities deserve a closer read. Use the factoring calculator to compare effective cost.
Use the Secretary of State's online UCC search and enter your business's exact registered name, plus any former names. Look for financing statements describing accounts, receivables or all assets. If one appears, ask the secured party whether it will release or subordinate its interest in the invoices you plan to sell.
