Invoice Factoring in Rhode Island

Rhode Island is compact, but its shipyards, defense suppliers, hospitals and jewelry and textile makers produce plenty of slow-paying invoices. Here is how factoring works in the Ocean State.

Factoring in Rhode Island

Rhode Island's largest employment sector is education and health services, about 115,100 jobs in the Bureau of Labor Statistics' Economy at a Glance table for September 2026 (preliminary). Hospitals, universities and nursing facilities purchase staffing, cleaning, food service and supplies from local vendors and generally pay on institutional cycles. A medical staffing firm or janitorial contractor serving them can factor invoices to make payroll on time; see janitorial factoring for how factors evaluate service-contract receivables.

Manufacturing remains unusually important for a small state, at roughly 40,500 jobs. Shipbuilding and submarine work on Narragansett Bay anchor a network of machine shops, electrical contractors and component suppliers, many of whom sell to large prime defense contractors. Others make jewelry, textiles, medical devices and marine products. Prime contractors often pay subcontractors on extended terms, and a subcontractor that wants faster cash can factor those invoices. Work flowing from federal contracts is covered in our government contractor factoring page.

Trade, transportation and utilities adds about 80,300 jobs, including distribution along the Interstate 95 corridor and the Port of Providence, and professional and business services adds roughly 68,000. Construction, at about 22,800 jobs, includes subcontractors on commercial and offshore wind projects, where progress billing and retainage are common.

UCC filings in Rhode Island

Financing statements are filed with the Rhode Island Department of State (the Secretary of State's office), Business Services Division. Its UCC page offers online filing for the UCC-1 and UCC-3, an online form to request a certified UCC-11 search, and a database for searching registered financing statements by "Article 9," "Begins with" or "Exact Match" logic, along with a search guide. Downloadable PDFs remain available for paper filings.

Why a factor files: Article 9 treats the sale of accounts as a transaction that must be perfected by filing, just like a loan secured by receivables. The UCC-1 a factor files against your company is the public record of its ownership and determines its priority over later creditors.

Before signing, search the database for your exact legal name, trying the "Article 9" option as well as "Exact Match" and "Begins with." Look for any lender whose filing covers accounts or all assets. If a bank or SBA lender already has one, expect the factor to ask for a subordination or payoff.

Rhode Island law notes

Factoring is generally structured as a purchase of accounts rather than a loan: the factor pays a discounted price and collects from your customer. If a contract leaves the seller bearing all credit risk, a court could view it differently, so look at the recourse provisions.

Rhode Island adopted Article 9 as Chapter 6A-9 of the General Laws. R.I. Gen. Laws § 6A-9-406 follows UCC 9-406. After an account debtor receives notice of the assignment, it can discharge its debt only by paying the assignee. The section also makes a term in an agreement between an account debtor and an assignor ineffective to the extent it prohibits, restricts or requires consent to the assignment of an account. A defense prime's subcontract clause against assignment usually will not prevent factoring, although federal rules on assigning government contract payments raise separate issues.

No state-specific disclosure statute was identified as of November 2026 for commercial financing or factoring in Rhode Island.

This is general information, not legal advice.

Major metro areas

Providence and its surrounding cities, including Cranston, Pawtucket and Warwick, hold most of the state's hospitals, universities, insurers and professional firms, along with legacy jewelry and textile manufacturers.

Quonset and North Kingstown host a business park with submarine module fabrication, port operations and a cluster of manufacturers and suppliers.

Newport and Aquidneck Island combine naval research and education with marine trades and tourism-related services.

Woonsocket and northern Rhode Island add pharmacy-sector corporate operations, distribution and manufacturing.

Frequently asked questions

Can a Rhode Island defense subcontractor factor invoices owed to a prime contractor?

Usually, yes. Invoices owed by a private prime contractor are commercial accounts, and § 6A-9-406 generally overrides a clause banning assignment. Payments owed directly by a federal agency are different and typically require compliance with the federal Assignment of Claims Act. Clarify which situation applies before signing.

How do I search for UCC liens against my Rhode Island company?

Use the Department of State's online UCC database, which offers "Article 9," "Begins with" and "Exact Match" search options; running more than one helps catch filings under name variations. For an official certified result, the office accepts UCC-11 requests online or by PDF form.

Is factoring a good fit for a small Rhode Island business?

It works best when you sell to creditworthy businesses on standard trade terms and need cash faster than they pay. Use the factoring calculator to estimate the real cost, and compare it with any bank line you might qualify for.
