Invoice Factoring in Washington

Washington combines Pacific ports, an aerospace supply chain, large farm exports and a dense technology sector. One detail surprises newcomers: UCC filings go to the Department of Licensing, not the Secretary of State.

Factoring in Washington

Washington's receivables are spread across several very different industries. The Bureau of Labor Statistics' Economy at a Glance table shows trade, transportation and utilities as the largest private supersector at about 626,100 jobs in September 2026 (preliminary). The Puget Sound container ports at Seattle and Tacoma, Columbia River grain terminals, and the Interstate 5 and Interstate 90 freight corridors generate a heavy flow of drayage, warehousing and trucking invoices. Carriers that move containers off the docks frequently factor to cover fuel and chassis costs while they wait for shippers to pay.

Manufacturing, about 275,500 jobs, is led by aerospace. Commercial aircraft assembly in the Puget Sound area supports hundreds of machine shops, composite fabricators and engineering contractors that are often paid on long terms. For those suppliers, manufacturing factoring can bridge the gap between delivering parts and collecting.

Professional and business services, about 549,100 jobs, includes the software and cloud economy around Seattle and the Eastside, and the consultants, staffing agencies and contractors serving it. Education and health services accounts for about 575,800 jobs. East of the Cascades, agriculture dominates: tree fruit, wheat, hops and potatoes move from packers and processors to buyers who pay on trade terms, and agriculture factoring is common among packers, haulers and input suppliers. Construction adds about 218,100 jobs.

UCC filings in Washington

UCC records in Washington are handled by the Washington State Department of Licensing, through the Uniform Commercial Code program in its Business and Professions Division. Its UCC page says you can file and amend financing statements and search UCC records online or by mail, and it offers batch filing and search for high-volume users. Fees for online and paper filings and searches are posted on separate linked pages.

A factor files a UCC-1 because Article 9 covers the sale of accounts. The filing puts the world on notice that the factor owns the invoices it purchased, and it secures priority over creditors who file later.

Search before you sign. Run your exact registered business name through the Department of Licensing search. Aerospace suppliers and tech companies alike often have bank lines or venture-debt facilities with liens on all assets, and a factor will need those lenders to release or subordinate their interest in the accounts being sold.

Washington law notes

Factoring is generally a sale of receivables at a discount rather than a loan. Whether a court sees it that way depends on the substance, including how much risk of nonpayment the factor really bears.

Washington adopted Article 9 as Article 62A.9A of the Revised Code of Washington. RCW 62A.9A-406 follows UCC 9-406. Once an account debtor is notified, it must pay the assignee. Subject to the section's listed exceptions, a term in an agreement between an account debtor and an assignor is ineffective to the extent it prohibits, restricts or requires consent to the assignment. An aircraft program's supplier terms barring assignment therefore usually will not prevent a supplier from factoring its invoices, though the factor must handle notice carefully with large buyers.

No state-specific disclosure statute was identified as of November 2026 for commercial financing or factoring in Washington.

This is general information, not legal advice.

Major metro areas

Seattle, Bellevue and Redmond hold the state's software, cloud and e-commerce companies, along with healthcare, biotech and the professional services firms that serve them.

Tacoma and the South Sound combine container port operations, military installations and distribution warehouses along Interstate 5.

Everett and Snohomish County are the heart of aerospace assembly and the supplier network around it.

Spokane is the commercial center of the Inland Northwest, with healthcare, manufacturing and agricultural trade.

The Tri-Cities and Yakima Valley are driven by agriculture, food processing and energy and environmental contracting, while Vancouver ties into the Portland economy across the Columbia.

Frequently asked questions

Where do I search for UCC liens in Washington?

Use the Department of Licensing's online UCC search rather than the Secretary of State. Enter your exact registered name, and repeat the search for any prior names. Filings listing accounts, receivables or all assets need to be resolved before a factor funds.

Can a fruit packer or grain hauler in eastern Washington factor invoices?

Yes, when the buyer is a creditworthy business that pays on defined terms. Factors check buyer credit, shipping documents and any quality-dispute history. Expect seasonal volume swings to affect minimums, so ask about volume requirements up front. Perishable shipments carry inspection and rejection risk, so documentation of condition on delivery helps.

What should an aerospace machine shop ask before factoring?

Ask how the factor handles payment through large customers' supplier portals, whether it charges for invoice verification, and how disputes over quality are treated. Our guide to reading a factoring contract lists the clauses to check. Also ask about concentration limits if one customer makes up most of your sales.
