Factoring Companies in Louisiana

Louisiana's receivables are tied to refineries, LNG terminals, pipelines and the Mississippi River ports. Its UCC system also works differently from almost every other state.

Factoring in Louisiana

Few states have an economy so tied to energy infrastructure. Louisiana Economic Development's energy page reports more than $132 billion in energy and emission-reduction capital investment, more than 50,000 miles of pipeline, four LNG export facilities and six Class I railroads. Those assets depend on welders, scaffolding crews, inspection firms, rental yards and hot-shot haulers. Those subcontractors usually invoice a prime contractor or operator and then wait, sometimes well past the stated terms, while their own crews expect weekly pay. That gap is the classic case for oil and gas factoring.

Water and rail freight form the second pillar. The agency's logistics page says the industry supports more than 110,000 jobs and gives the state access to five of the top 15 U.S. ports by tonnage, along with frontage on the Mississippi River and the Gulf. Barge operators, stevedoring contractors, drayage carriers and customs-related service firms generate invoices to shippers, terminals and freight forwarders that are well suited to factoring.

According to the Bureau of Labor Statistics' Economy at a Glance, Louisiana had roughly 2,024,200 nonfarm jobs in September 2026 (preliminary), including 154,200 in construction, 143,400 in manufacturing, 27,400 in mining and logging, and 374,500 in trade, transportation and utilities. Much of that construction workforce is tied to industrial projects, where pay-when-paid terms are common. Agribusiness also appears on the agency's list of key industries.

UCC filings in Louisiana

Louisiana is the exception to the usual rule that UCC-1 financing statements go to the Secretary of State. The Louisiana Secretary of State states plainly on its financing statement page that UCC filings are not filed with that office. Instead, a UCC-1 may be filed with any Louisiana parish Clerk of Court, regardless of where the debtor is located or where the collateral sits, and amendments must go to the same office as the original filing. The page says filings can be submitted to a parish clerk online, though attachments cannot be uploaded through that system.

Searching is also different. The Secretary of State's search page says certified searches must be requested in writing from a Clerk of Court office, and the office sells subscription access to the statewide UCC database for frequent searchers. The fee schedule is posted separately on the Secretary of State's site and changed under 2026 legislation, so confirm current amounts there.

A factor files a financing statement against the accounts it buys so that its ownership of those invoices is on public record and ranks ahead of later creditors. Before signing, ask the factor (or a clerk's office) to run a search on your exact business name. An earlier blanket lien from a bank or equipment lender usually has to be released or subordinated before a factor will fund.

Louisiana law notes

Louisiana is a civil-law state in many respects, but it has adopted UCC Article 9 in Title 10 of the Revised Statutes. Factoring is generally a purchase of receivables rather than a loan. La. R.S. 10:9-406 governs how account debtors are discharged once they receive notice of an assignment, and its subsection (d) makes a contract term ineffective to the extent it prohibits, restricts or requires the account debtor's consent to an assignment of an account.

On rates, La. R.S. 9:3509 allows corporations, LLCs, partnerships and other borrowers obligated for commercial, business or agricultural purposes to agree to interest above the state's conventional maximum, and bars usury claims based on that agreement. A properly structured factoring sale is generally not treated as a loan at all, but where a deal has full recourse and fixed repayment features, the commercial-loan statute is the relevant backstop. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

The New Orleans area combines port operations, maritime services, tourism and hospitality, and healthcare systems, which together produce receivables for staffing agencies, marine contractors and food distributors.

Baton Rouge sits along the river's petrochemical corridor and adds state government spending, which brings in contractors billing public agencies.

Lafayette is an oilfield-services hub, so equipment rental, fabrication and trucking invoices are common.

Lake Charles and the southwestern parishes are centered on LNG and petrochemical construction, a heavy user of industrial labor and specialty contractors.

Shreveport and Bossier City mix natural gas, manufacturing and distribution along Interstate 20.

Frequently asked questions

Where does a factor file its UCC-1 in Louisiana?

With a parish Clerk of Court, not the Secretary of State. Any parish works regardless of where your business is located, and the record becomes searchable statewide through the Secretary of State's UCC database. Any later amendment or termination must be filed with the same clerk that accepted the original statement, so keep the filing details from your factoring agreement.

Can an oilfield subcontractor factor invoices owed to an operator?

Generally yes. R.S. 10:9-406 limits the effect of anti-assignment language, so an operator's master service agreement usually cannot block the sale of an approved invoice. Factors do check retainage and whether the operator requires signed field tickets. Our recourse vs non-recourse guide covers who bears the risk if the operator never pays.

Does Louisiana require factoring fee disclosures?

As of November 2026 no Louisiana statute requiring commercial financing disclosures was identified. Unlike New York, the state does not prescribe a standard cost table, so your protection comes from reading the agreement closely: the discount schedule, monthly minimums, termination notice, and when the reserve is released. Ask any factor to show its total cost on a sample invoice.
