Factoring in Maine

Maine's economy is small by headcount but unusually concentrated in industries that ship physical goods to distant buyers. The Department of Economic and Community Development names forest products, life sciences, marine and aquaculture, food and agriculture, outdoor recreation, clean energy and manufacturing as the clusters with the highest growth potential. Its key-industries page says roughly 1,850 manufacturers employ more than 56,700 workers, with a payroll above $3.6 billion that accounts for 12% of wages paid statewide, and that manufacturing contributes over $6.2 billion to state GDP across defense, paper, boatbuilding, electronics, medical devices, composites and food and beverage.

Forest products deserve their own mention. The department describes the state as home to the largest contiguous forest east of the Mississippi, 90% of it privately owned, with lumber and paper mills supporting loggers and truckers across rural counties. A logging contractor or chip hauler who delivers to a mill and invoices on the mill's payment cycle is a natural candidate for factoring, as is a sawmill selling lumber to distributors in other states.

Food producers face a similar timing problem. A seafood processor or specialty food maker selling to regional grocery chains and distributors may wait weeks for payment while paying fishermen, growers and packaging suppliers up front. For more on how factors look at farm and food invoices, see agriculture factoring.

The Bureau of Labor Statistics' Economy at a Glance shows 661,700 nonfarm jobs in Maine in September 2026 (preliminary), with 139,800 in education and health services, 118,500 in trade, transportation and utilities, 77,600 in professional and business services and 71,700 in leisure and hospitality. Healthcare staffing and home-care agencies billing insurers and facilities, and seasonal hospitality suppliers whose cash needs peak before summer revenue arrives, add to the mix.

UCC filings in Maine

UCC records are kept by the Maine Department of the Secretary of State, Bureau of Corporations, Elections and Commissions. Its Uniform Commercial Code page says the office offers an online UCC search and filing service, and that paper filings can still be mailed using current forms from the office's forms page. Fees are listed on the forms and fees page linked from that site rather than the main UCC page, so check there for current amounts.

The reason a factor records a financing statement is priority. Article 9 treats a sale of accounts much like a secured loan for filing purposes, so the buyer of your invoices perfects its ownership by filing a UCC-1 that lists your business as debtor and describes the accounts. Without that filing, a later lender or a bankruptcy trustee could challenge the factor's claim.

Because Maine's search tool is online, it is easy to check your own record before you sign anything. Search your exact legal name as registered with the state. If a bank or equipment lessor already holds a filing that covers accounts or all assets, the factor will ask for a release or an intercreditor agreement, and you will want to start that conversation early.

Maine law notes

Maine codifies UCC Article 9 as Article 9-A of Title 11 of the Maine Revised Statutes, so section numbers carry an extra digit. Factoring is generally a purchase of receivables rather than a loan, and the account debtor's obligations follow from 11 MRSA §9-1406. Under that section, a customer can keep paying you until it receives a signed notice of assignment; after notice, payment must go to the factor. The section also makes a term in an agreement between an account debtor and the seller ineffective to the extent it prohibits, restricts or requires the account debtor's consent to an assignment, which is why a no-assignment clause in a buyer's terms rarely prevents factoring.

Usury and recharacterization questions in Maine depend on how a particular agreement allocates credit risk, and this page does not attempt to summarize them. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Greater Portland, including South Portland and Westbrook, is the state's commercial center, with port activity, life sciences, professional services and much of the state's food and beverage production.

Lewiston and Auburn combine manufacturing, distribution and healthcare, and generate steady receivables for staffing agencies and trucking companies.

Bangor serves as the hub for northern and eastern Maine, linking hospitals, retailers and forest products operations.

Augusta adds state government contracting, while midcoast communities contribute boatbuilding, marine trades and defense suppliers.

Frequently asked questions

Can a Maine logging or trucking contractor factor mill invoices?

Usually. A factor will look at the mill's payment history and whether delivery tickets and scale slips match each invoice, because those documents prove the wood was received. Mills that pay reliably make strong account debtors even when the contractor itself is small or new. Our how factoring works guide walks through verification and advances.

Why does Maine's statute number look different from other states?

Maine places its version of Article 9 in Title 11, Article 9-A, and numbers sections with a four-digit suffix. The provision other states call 9-406 appears in Maine as §9-1406. The substance is the same uniform rule on notice of assignment and the limits on anti-assignment clauses.

How do I find existing liens on my Maine business?

Use the Secretary of State's online UCC search and enter your business's exact registered name. Note any filing that lists accounts, receivables or all assets as collateral, and ask that secured party whether it will release or subordinate those invoices before you commit to a factor.
