Factoring in New Hampshire

New Hampshire is a manufacturing state to a degree its size hides. The Department of Business and Economic Affairs, summarizing a sector study it released, describes an $8 billion advanced manufacturing sector with over 42,000 jobs across 1,100 businesses, and says the cluster's share of state employment is 60 percent higher than the national average. The subsectors it names include aerospace and defense, fabricated metal products, computer and electronics, machinery, electrical equipment and transportation equipment, with medical devices, semiconductors, aircraft engine parts and precision optics given as examples.

That profile produces a specific kind of receivable. A machine shop or electronics assembler in the Merrimack Valley often sells to a much larger prime contractor or OEM whose supplier terms are long and whose quality-acceptance process can hold up an invoice after the parts ship. Meanwhile the shop is buying bar stock, paying machinists weekly and carrying tooling costs. Factoring approved invoices from those large buyers is one of the more common ways small New Hampshire manufacturers bridge the gap; our manufacturing factoring page explains how factors treat purchase orders, acceptance and partial shipments.

Bureau of Labor Statistics Economy at a Glance figures for September 2026 (preliminary) show 703,100 nonfarm jobs in the state, with 67,000 in manufacturing, 134,600 in trade, transportation and utilities, 130,900 in education and health services, 101,400 in professional and business services and 78,500 in leisure and hospitality. IT consultancies and engineering firms billing out-of-state clients, healthcare staffing agencies, and suppliers to the tourism economy all sit in that mix. Defense suppliers billing federal agencies can also factor, but they face assignment rules under federal law; see government contractor factoring.

UCC filings in New Hampshire

Financing statements are filed with the New Hampshire Secretary of State, which handles UCC and statutory lien records through its corporation, UCC and securities functions. Its UCC and Statutory Liens page links to forms, search requests and frequently asked questions, and the department's published materials describe electronic UCC filing through its QuickStart online system, which requires an account. The site returned an access-denied response to our automated check, so confirm procedures and current fees directly with the office.

Why the filing matters: a factor that buys your invoices is treated under Article 9 much like a secured party, and it perfects its ownership of the accounts by recording a UCC-1 against your business. That public record is what lets the factor defend its claim to the invoices against your bank, other creditors or a bankruptcy trustee.

Before signing, check what is already on file under your exact legal name. A term loan or line of credit from a New England bank frequently comes with an all-assets lien that includes receivables. If that lien exists, the factor will need a payoff, a carve-out or a subordination agreement, and negotiating that takes time.

New Hampshire law notes

Factoring is generally a purchase of receivables rather than a loan, although recourse terms and reserve arrangements influence how a court would characterize a particular deal. New Hampshire enacted UCC Article 9 within RSA chapter 382-A. RSA 382-A:9-406 controls when a customer is discharged by paying the original seller versus the factor, and subsection (d) makes a term in an agreement between the account debtor and the seller ineffective to the extent it prohibits, restricts or requires consent to an assignment of an account, or treats an assignment as a default or breach. Exceptions cross-referenced in the section, including 9-407, still apply.

We did not verify a New Hampshire usury provision applicable to commercial factoring for this page. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Manchester and Nashua, along the Merrimack River and the Everett Turnpike, hold the densest concentration of manufacturers, electronics and defense suppliers, and technology firms, along with the hospitals and service businesses that support them.

The Portsmouth and Seacoast region combines port activity, aerospace and marine suppliers, and a growing professional services base.

Concord, the capital, adds state government contracting and healthcare, while the Lakes Region and White Mountains depend on seasonal tourism suppliers whose cash needs swing sharply through the year.

Frequently asked questions

Can a New Hampshire machine shop factor invoices owed to a defense prime?

Usually, if the invoice is owed by a commercial prime contractor rather than directly by the federal government. RSA 382-A:9-406 limits clauses in the prime's terms that bar assignment. Factors will check whether parts have cleared the buyer's inspection and whether the prime offsets chargebacks for rejected lots, because those are the main reasons a manufacturing invoice is short-paid.

Does a bank line of credit stop me from factoring in New Hampshire?

Not automatically, but it often complicates things. Many bank facilities include an all-assets UCC filing and a covenant against selling receivables. You would need the bank to release or subordinate its interest in the invoices being sold, or replace the line entirely. Run a lien search on your exact business name before you start talking to factors.

Is factoring regulated by a state disclosure law in New Hampshire?

As of November 2026, no New Hampshire statute requiring commercial financing disclosures was identified. Cost comparisons are therefore up to you; plug offers into our factoring calculator to translate discount rates and fees into an effective cost over your typical collection period.
