Factoring in New York

New York's receivables base is enormous and unusually service-heavy. The Bureau of Labor Statistics' Economy at a Glance puts the state at roughly 9,970,400 nonfarm jobs in September 2026 (preliminary), with 2,438,500 in education and health services, 1,482,900 in trade, transportation and utilities, 1,402,000 in professional and business services and 756,600 in financial activities. Manufacturing (397,600) and construction (384,700) are smaller but still large.

Those numbers translate into a wide range of invoice-driven businesses. Staffing agencies supplying hospitals, offices and warehouses carry weekly payroll against client terms that can run much longer; staffing factoring is built around that mismatch. Subcontractors on commercial and public construction projects wait on general contractors and agencies. Distributors and freight carriers moving goods through the downstate region bill retailers and wholesalers.

Upstate the mix shifts toward production. Empire State Development lists 17 target industries, including semiconductors, optics and photonics, industrial machinery, materials processing, transportation equipment, agribusiness, craft beverages, distribution, and television and film. Machine shops, component suppliers and food processors selling to larger manufacturers or grocery chains are typical factoring candidates outside the city, as are production vendors billing studios.

Factors based in New York

Twelve listed factoring companies are headquartered in New York, nearly all in Manhattan, and the market skews toward apparel, importers and wholesale rather than trucking. The largest is Rosenthal & Rosenthal, now trading as Rosenthal Capital Group, which writes facilities from about $500,000 to $40 million and does not publish rates. Express Trade Capital combines factoring with purchase-order funding and letters of credit for apparel, beauty and home-goods importers, with annual minimums it describes as among the lowest on the market and an office in North Miami Beach. The remaining New York listings, including Rapid Factors, Capstone Corporate Funding, Finance One, Corporate Factoring Group and MyFactor, appear in the directory below without terms we could verify. Trucking companies in New York are mostly served by the national freight factors in the comparison table, since none of the New York-based firms makes freight its primary business.

UCC filings in New York

Financing statements are handled by the New York Department of State, Division of Corporations, State Records and UCC. Its Uniform Commercial Code page says the UCC financing statement can be filed online or on paper, that amendments can also be filed online, and it links to an online lien search by debtor name, filing number or secured party. Fees are on a separate fee schedule page, so check current amounts there.

A factor buying your invoices records a UCC-1 so that its claim to those accounts is public and takes priority over creditors who file later. This matters because a business may already have filings from merchant cash advance providers, equipment lessors or bank credit lines, and those earlier filings may describe all receivables.

Before signing, search the Department of State database under your exact legal name and any trade names. Every filing that covers accounts should be resolved, through a payoff, a release or a subordination, before funding.

New York law notes

Factoring is generally a purchase of receivables rather than a loan. New York's version of Article 9 is in its Uniform Commercial Code, and N.Y. UCC §9-406 provides that a term in an agreement between an account debtor and the seller is ineffective to the extent it prohibits, restricts or requires consent to an assignment of an account. A customer's no-assignment clause therefore generally cannot stop the sale of the invoice.

On usury, General Obligations Law §5-521 bars corporations from raising a usury defense, except for criminal usury under Penal Law §190.40, which applies to interest above 25% per year on a loan or forbearance. Whether a factoring arrangement is a sale or a disguised loan, and therefore whether usury rules apply at all, depends on its terms, including recourse.

New York also has a disclosure regime that specifically reaches factoring. The Commercial Finance Disclosure Law, Article 8 of the Financial Services Law (sections 801 to 811), requires providers to give standardized disclosures for commercial financing offers of up to $2,500,000. The Department of Financial Services implemented it through 23 NYCRR Part 600, adopted in February 2023 with a compliance date six months after publication. Section 600.12 prescribes an eight-row table for factoring transactions that includes the funding provided and an estimated annual percentage rate. If you receive a New York factoring offer within that size range, expect to see that table; our guide to reading a factoring contract explains how to compare it with the agreement itself.

Major metro areas

The New York City region drives the largest share of activity, with healthcare systems, professional and financial services, media and film production, construction, and a dense wholesale and import-distribution network around the port.

Buffalo and Niagara combine manufacturing, cross-border trade with Canada and healthcare.

Rochester has deep roots in optics, imaging and precision manufacturing, and Syracuse and central New York add manufacturing, universities and healthcare.

Albany and the Capital Region mix state government contracting with technology manufacturing, while the Hudson Valley and Long Island add distribution, defense and food businesses.

Frequently asked questions

Does New York's disclosure law apply to factoring?

Yes, for covered offers. The Commercial Finance Disclosure Law and 23 NYCRR Part 600 include factoring transactions alongside loans, lines and sales-based financing, and Part 600 sets a specific disclosure table for them. The law applies to offers up to $2,500,000, and the regulation explains how to measure that threshold. Larger facilities fall outside the requirement.

Can a New York business claim a factoring fee is usurious?

It is difficult. Corporations generally cannot raise civil usury under General Obligations Law §5-521, leaving only the criminal usury threshold of 25% a year. And if the deal is a true sale of receivables rather than a loan, usury law usually does not apply at all. Courts look at recourse and risk allocation to decide which it is.

How do I search for UCC liens in New York?

Use the Department of State's online UCC and lien search. Searching by debtor name is the most useful approach; include the exact registered name of your corporation or LLC. Review each result's collateral description, and ask any secured party claiming receivables how it will release or subordinate them.
