Factoring in Tennessee

Freight is the first thing to understand about Tennessee receivables. The Bureau of Labor Statistics' Economy at a Glance table counts about 683,500 jobs in trade, transportation and utilities in September 2026 (preliminary), the largest supersector in the state. Memphis combines a major air-cargo hub, Mississippi River barge traffic and Class I rail lines, and Interstate 40 carries trucks across the full width of the state. Carriers and brokers working those lanes are among the heaviest users of factoring, and trucking factoring remains the most common entry point for Tennessee businesses.

Manufacturing is substantial at about 354,100 jobs. The Tennessee Department of Economic and Community Development notes that alongside vehicle assembly the state has parts, tire and transport-equipment makers running production lines, and that supplier base is paid on extended terms. Those suppliers frequently factor to pay for materials and labor between shipments; automotive factoring explains what factors check, including chargebacks and supplier portals.

Healthcare is the third pillar. Nashville is home to a large concentration of hospital-management and healthcare-services companies, and education and health services employs about 516,200 Tennesseans. Medical staffing agencies, billing contractors and service vendors invoice facilities on monthly or longer cycles. Professional and business services, about 448,300 jobs, covers many of those staffing firms, and construction adds about 167,600 jobs driven by fast growth in the Nashville region.

UCC filings in Tennessee

According to the University of Tennessee County Technical Assistance Service, most initial financing statements in Tennessee should be filed with the Tennessee Secretary of State. The exceptions go to the county register of deeds: filings covering as-extracted collateral such as oil, gas or minerals, timber to be cut, and fixture filings, except fixture filings by transmitting utilities, which go to the Secretary of State. The Secretary of State's website at sos.tn.gov is the place to file and search UCC records and to confirm current fees.

A factor files a UCC-1 because the sale of accounts falls under Article 9. The filing describes the invoices it buys, usually present and future accounts, and secures the factor's priority over creditors who come later.

Before signing, search the Secretary of State's records for your exact legal name. If your business has a bank line, SBA loan or equipment financing with an all-assets lien, plan for a subordination or payoff discussion early, because the factor will not fund until the lien is addressed.

Tennessee law notes

In factoring, you sell invoices at a discount instead of borrowing against them. That is why factoring is generally not treated as a loan, although a contract that pushes all credit risk back to the seller can blur the line.

Tennessee's version of Article 9 is found in Chapter 9 of Title 47, Tennessee Code Annotated, according to the County Technical Assistance Service. As in other states that adopted revised Article 9, the Tennessee counterpart to UCC 9-406 lets an account debtor discharge its debt by paying the assignee once notified, and it limits the effect of contract terms that restrict assigning an account. Practically, a customer's no-assignment clause usually does not prevent you from factoring. Confirm the current text of the specific section with counsel, since we could not access an official online version of the Tennessee Code to verify it.

No state-specific disclosure statute was identified as of November 2026 for commercial financing or factoring in Tennessee.

This is general information, not legal advice.

Major metro areas

Nashville drives the state's healthcare-services industry and also has music and entertainment, auto manufacturing in its suburbs, and a construction boom.

Memphis is a national distribution and air-cargo center, with river, rail and trucking operations, plus medical devices and agribusiness.

Knoxville combines energy and research institutions, university activity and manufacturing.

Chattanooga hosts vehicle assembly, logistics companies and a strong trucking sector along Interstates 24 and 75.

The Tri-Cities area of Kingsport, Johnson City and Bristol adds chemical manufacturing and regional healthcare.

Frequently asked questions

Do fixture filings go to the Secretary of State in Tennessee?

Generally no. Fixture filings, timber-to-be-cut filings and as-extracted collateral filings go to the register of deeds in the county where the real property sits, while most other financing statements go to the Secretary of State. Invoice factoring involves accounts, so its UCC-1 is normally a Secretary of State filing.

Can a Memphis freight broker factor its customer invoices?

Yes. Brokers often factor shipper invoices so they can pay carriers quickly. Factors will look at shipper credit, your carrier-payment process and any double-brokering safeguards. Some also offer quick-pay programs for your carriers. Expect the factor to require that shippers pay a lockbox or account it controls, and to review your broker authority and bond.

Should a Tennessee staffing agency use recourse factoring?

Recourse factoring is cheaper, but you must buy back invoices your clients do not pay within a set period. Non-recourse covers specific credit events only. Review our recourse versus non-recourse guide and compare pricing on both. Check how long the buyback period is before an invoice comes back to you.
