Factoring in Wisconsin

Manufacturing is central to Wisconsin's economy. The Bureau of Labor Statistics' Economy at a Glance table counts about 457,800 manufacturing jobs in September 2026 (preliminary), close behind trade, transportation and utilities at about 533,600. Machinery, engines, electrical equipment, paper and printing, and fabricated metal plants rely on smaller suppliers for castings, machining, packaging and contract labor. Those suppliers typically invoice on trade terms, and many use manufacturing factoring to fund materials and payroll for the next order.

Food is the other giant. Dairy farms supply cheese plants and processors across the state, and food manufacturing extends to meat, vegetables and beverages. Truckers hauling milk, ingredients and finished goods, packaging suppliers and equipment service companies all bill processors who pay on trade terms. Freight carriers in particular factor heavily because fuel and driver pay come due long before freight bills are collected; our trucking factoring page covers how factors underwrite them.

Education and health services employs about 506,100 Wisconsinites, professional and business services about 334,600, and construction about 154,600. Staffing agencies supplying manufacturing and warehouse labor are a prominent part of the services count, and many factor weekly payroll against client invoices.

UCC filings in Wisconsin

UCC records are filed with the Wisconsin Department of Financial Institutions, Division of Corporate and Consumer Services. Its UCC general information page links to online filing, forms, statutes and lien searches. The department's fee page lists $10 for a standard electronic UCC-1, UCC-3 or UCC-5 filing and $20.00 for a standard paper filing, with terminations free. An online uncertified search is free, and an online UCC-11 search listing is $7.00.

The reason a factor files a UCC-1 is that Article 9 applies to sales of accounts, not only to loans secured by them. The filing establishes the factor's ownership of the invoices as a matter of public record and its priority over later creditors.

Before signing, run the free online search on your exact legal name. Manufacturers frequently have bank revolvers or equipment loans with all-asset liens; the factor will require a subordination or a carve-out for the accounts it buys before it funds.

Wisconsin law notes

Factoring is generally a purchase of receivables rather than a loan: the factor pays a discounted price and collects from your customer. If the contract shifts nearly all credit risk back to the seller, it may be analyzed as a financing instead.

Wisconsin codifies Article 9 in Chapter 409 of the Statutes. Wis. Stat. § 409.406 follows UCC 9-406, though Wisconsin numbers its subsections differently from the model code. Once an account debtor receives notice, it must pay the assignee, and under § 409.406(4) a term in an agreement between an account debtor and an assignor is ineffective to the extent it prohibits, restricts or requires consent to the assignment. A processor's or OEM's no-assignment clause therefore usually will not prevent you from factoring.

No state-specific disclosure statute was identified as of November 2026 for commercial financing or factoring in Wisconsin.

This is general information, not legal advice.

Major metro areas

Milwaukee and its suburbs are the industrial core, with machinery, electrical equipment and engine manufacturers, breweries and food producers, and port and rail freight on Lake Michigan.

Madison combines state government, a major university, healthcare software and biotech, and a growing services sector.

Green Bay and the Fox Cities around Appleton center on paper and packaging, food processing and trucking.

Eau Claire, Wausau and La Crosse add manufacturing, healthcare and agricultural processing in the west and north, while Racine and Kenosha are tied to manufacturing and distribution serving the Chicago market.

Frequently asked questions

How much does Wisconsin charge to search for UCC liens?

The Department of Financial Institutions offers a free uncertified online search. An online UCC-11 search listing costs $7.00, with certification and copies extra, while a paper UCC-11 search listing costs $50.00. For pre-signing diligence, the free search is usually enough.

Can a Wisconsin milk hauler factor invoices owed to a cheese plant?

Yes, if the plant is creditworthy and pays on defined terms. Factors want delivery records and the hauling agreement. Because many haulers serve a single processor, a factor may cap how much it will advance against one customer. Ask what concentration limit applies.

Should I factor all my invoices or just some?

Some factors require you to sell all receivables; others allow selective or spot factoring at a higher rate. Our guide on how factoring works explains full-turnover and spot arrangements. Spot factoring offers flexibility for occasional cash needs, while whole-ledger programs usually carry lower rates and simpler pricing.
